1.1 Commitment
This Code of Conduct sets forth the ethical, professional, and legal standards required of all directors, officers, employees, and contractors ("Personnel") of Instowiz (1000443301 Ontario Inc. refer as “Instowiz”). Adherence to this Code is mandatory and critical to maintaining the trust of our clients, partners, and the public.

1.2 Responsibility
All Personnel are responsible for reading, understanding, and complying with this Code. Ignorance of the policy is not a defense for non-compliance.

2.1 Integrity and Honesty
Personnel must act honestly and truthfully in all aspects of employment and business conduct. This includes

a. Accurately recording and reporting all business transactions, time, and expenses.
b. Never engaging in fraud, theft, or deliberate misrepresentation.

2.2 Confidentiality and Privacy
Personnel must protect the confidential and proprietary information of Instowiz and its clients, especially Personal Data (PD/PII).

a. Confidential Information must only be shared on a strict "need-to-know" basis.
b. All Personnel must adhere strictly to the Information Security Policy and the Privacy & Data Protection Policy.
c. Confidential discussions regarding clients or business operations must not occur in public places or on unsecured communication channels.

2.3 Compliance with Laws
Personnel must comply with all applicable local, national, and international laws, rules, and regulations, including those related to:

a. Data protection and privacy
b. Anti-bribery and corruption
c. Securities and trading laws (if applicable).

2.4 Conflicts of Interest
Personnel must avoid situations where their personal interests conflict or appear to conflict with the interests of Instowiz or its clients.

a. Any actual or potential conflict of interest (e.g., holding a significant financial interest in a competitor, supplier, or client) must be promptly disclosed in writing to Management or Human Resources.

3.1 Respectful Environment
Instowiz is committed to maintaining a work environment free from discrimination, harassment, and abuse. a. Personnel must treat all colleagues, clients, and partners with dignity and respect, regardless of gender, race, religion, sexual orientation, disability, or any other protected characteristic.

3.2 Use of Company Assets
Company assets, including equipment, software, networks, and internet access, are provided for legitimate business use. Incidental personal use is permitted but must not:

a. Interfere with work duties.
b. Violate any laws or company policies (e.g., downloading illegal or malicious content).
c. Introduce security risks.

4.1 Reporting Obligation
Personnel who become aware of any actual or potential violation of this Code, Instowiz policies, or applicable laws have an obligation to report it promptly.

4.2 Non-Retaliation
Instowiz strictly prohibits retaliation against any Personnel who, in good faith, reports a violation or cooperates in an investigation.

4.3 Channels for Reporting
Reports should be made to:
a. Immediate Supervisor (if appropriate).
b. Human Resources or Management.

Violation of this Code may lead to disciplinary action, up to and including immediate termination of employment or contract, and referral to appropriate legal authorities.
